Terms of Service

1. Definitions

• "Platform" refers to the RSD-RS web application, API, and related services.
• "User" or "You" refers to the healthcare professional or organisation registered to use the Platform.
• "Patient Data" refers to the anonymised clinical assessment data entered into the Platform.
• "Research Data" refers to aggregated, anonymised data used for scientific research purposes.
• "Instruments" refers to the RSD-RS assessment questionnaires and scoring systems.

2. Acceptance of Terms

By creating an account and using the RSD-RS Platform, you confirm that:

• You are a qualified healthcare professional or work within a clinical/research organisation
• You have the authority to enter into this agreement on behalf of your organisation
• You will use the Platform in accordance with applicable laws and professional standards
• You have read and understood our Privacy Policy and Data Protection Policy

3. Description of Service

RSD-RS provides a clinical assessment platform for measuring rejection sensitivity dysphoria in individuals with ADHD. The Platform includes:

• Access to validated assessment instruments (RSD-RS Pro, RSD-RS-10, and variants)
• Patient record management with anonymous identifiers
• Automated scoring and clinical report generation
• Longitudinal tracking and change measurement
• Optional contribution to the global research initiative

4. User Responsibilities

4.1 Clinical Use

You acknowledge and agree that:

• The RSD-RS instruments are clinical tools to be used as part of a comprehensive assessment
• Results should be interpreted by qualified professionals in context of the full clinical picture
• The Platform does not provide diagnoses; it measures dimensional constructs
• You are responsible for appropriate clinical decision-making based on results
• The instruments are currently in validation phase; severity bands are provisional

4.2 Data Entry

You agree to:

• Enter only anonymised patient data - no names, dates of birth, or identifiable information
• Use only the system-generated patient identifiers
• Maintain your own secure records linking patient identifiers to actual patients
• Not attempt to re-identify patients from Research Data
• Ensure accuracy of demographic and clinical information entered

4.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access
• Ensuring appropriate access controls within your organisation

5. Research Contribution

If you opt in to research contribution (enabled by default), you agree that:

• Anonymised assessment data will be included in the global research dataset
• This data will be used to validate the RSD-RS instruments and develop normative data
• Aggregated findings may be published in scientific journals
• No individual patients or clinics will be identifiable in publications
• You may opt out at any time via Settings; existing contributed data remains in aggregate datasets
• Research use is governed by ethical principles and relevant regulations

6. Intellectual Property

The RSD-RS instruments, Platform, and associated materials are protected by intellectual property rights:

• The instruments are provided for clinical and research use under licence
• You may not modify, reproduce, or redistribute the instruments without permission
• Generated reports may be shared with patients and other healthcare providers as appropriate
• You retain rights to your clinical notes and interpretations

7. Subscription and Fees

7.1 Early Adopter Programme

Users who register during the validation phase and complete 100 or more assessments within 6 months receive free access to all platform features for that 6-month period.

If an Early Adopter account does not reach 100 completed assessments within the 6-month period, the account will be converted to our Starter tier (£49/month) and billed retrospectively for the period of active use at the Starter rate. We will provide reasonable notice before any billing adjustment and offer the opportunity to upgrade usage or transition to an appropriate paid tier.

7.2 Subscription Tiers

The Platform offers the following subscription tiers:

• Starter (£49/month or £490/year) - Up to 30 assessments per month
• Professional (£99/month or £990/year) - Up to 100 assessments per month
• Unlimited (£149/month or £1,490/year) - Unlimited assessments
• Enterprise (Custom pricing) - For large organisations and research institutions

Annual subscriptions include two months free compared to monthly billing. After the early adopter period ends, users may continue on any paid tier or export their data. We will notify users at least 30 days before their free period ends.

8. Disclaimers and Limitations

8.1 Clinical Disclaimer

THE RSD-RS INSTRUMENTS ARE PROVIDED AS CLINICAL TOOLS AND DO NOT CONSTITUTE MEDICAL ADVICE. THE PLATFORM DOES NOT DIAGNOSE CONDITIONS OR RECOMMEND TREATMENTS. ALL CLINICAL DECISIONS REMAIN THE RESPONSIBILITY OF THE QUALIFIED HEALTHCARE PROFESSIONAL.

8.2 Validation Status

The instruments are currently undergoing international validation. Severity bands and clinical cut-offs are provisional and based on item anchor severity rather than population norms. Results should be interpreted with appropriate clinical judgement.

8.3 Service Availability

While we strive for continuous availability, we do not guarantee uninterrupted access. We are not liable for any losses arising from service interruptions.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
• Our total liability for any claim arising from or related to the Platform shall not exceed the greater of: (a) the total fees you paid to us in the 12 months preceding the claim; or (b) £100.
• We are not liable for any clinical decisions made based on assessment results, which remain the sole responsibility of the healthcare professional.

Nothing in these terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any breach of the obligations implied by section 12 of the Sale of Goods Act 1979
• Any liability that cannot be excluded or limited by applicable law

10. Indemnification

You agree to indemnify, defend, and hold harmless RSD-RS, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform
• Your violation of these Terms of Service
• Your violation of any rights of another party, including patients
• Any claim that your use of the Platform caused damage to a third party
• Your failure to comply with applicable laws, regulations, or professional standards
• Any identifiable patient data you may inadvertently or intentionally enter into the Platform

This indemnification obligation will survive the termination of these Terms and your use of the Platform.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you:

• Violate these Terms of Service
• Enter identifiable patient information
• Misuse the Platform or Research Data
• Engage in fraudulent activity
• Fail to pay applicable subscription fees

You may terminate your account at any time by contacting us. Upon termination:

• You may export your assessment data for 30 days
• Your access to the Platform will be revoked
• Contributed Research Data remains in aggregate datasets (as it is anonymised)
• We may retain certain information as required by law

12. Changes to Terms

We may update these terms from time to time. If we make material changes, we will:

• Notify you via email at least 30 days before the changes take effect
• Post a notice on the Platform
• Update the "Last updated" date at the top of these terms

Your continued use of the Platform after the effective date of the revised terms constitutes your acceptance of the changes. If you do not agree to the new terms, you must stop using the Platform.

13. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from or relating to these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a business user in the European Union, you may also be entitled to use the EU Online Dispute Resolution platform. If you are a consumer in the EU, you retain any mandatory protections provided by the laws of your country of residence.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the other provisions of these Terms, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and Data Protection Policy, constitute the entire agreement between you and RSD-RS regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by RSD-RS.
